4. Use of the Service

Fermi is intended for modeling, planning, and educational purposes. You agree not to use the Service for any unlawful or harmful activities, to reverse-engineer or disrupt the platform, or to use automated systems to extract data. Fermi may include integrations or APIs; your use of these must comply with both Fermi’s policies and those of the integrated providers.

5. Data and Content Ownership

You retain ownership of all models, scenarios, and data you upload to Fermi. By using the Service, you grant us a limited license to store, process, and display this data solely to operate and improve Fermi. We do not claim ownership over your intellectual property.

6. Fees and Payments

Some features of Fermi may require payment. Fees, billing terms, and renewal policies will be presented prior to purchase. By subscribing, you authorize recurring charges according to your selected plan. Failure to pay may result in suspension or termination of access.

7. Intellectual Property

Fermi, including all software, design, documentation, and content (excluding user-provided content), is owned by Opt42 or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without explicit written permission.

8. Confidentiality and Security

9. Disclaimer of Warranties

Fermi is provided “as is” and “as available.” We make no warranties, express or implied, about the reliability, accuracy, or availability of the Service. You are solely responsible for decisions made based on Fermi’s models or data.

10. Limitation of Liability

To the fullest extent permitted by law, Opt42 and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of Fermi. Total liability for any claim will not exceed the amount paid (if any) for access to the Service in the 12 months preceding the claim.

11. Termination

You may stop using Fermi at any time. We may suspend or terminate your account if you breach these Terms, misuse the Service, or where required by law. Upon termination, your right to use Fermi ceases immediately, but your obligations related to confidentiality, data rights, and limitation of liability remain in effect.

12. Changes to Terms

We may modify these Terms to reflect product or policy updates. When we make material changes, we’ll update the date above and, where appropriate, notify you. Continued use of Fermi after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, excluding its conflict of law provisions. Any dispute arising under these Terms will be handled in state or federal courts located in Oregon, USA.
